Kamoto Copper Company Société Anonyme, KCC SA in acronym, is a Congolese company operating in Kolwezi, capital of the province of Lualaba, in the Democratic Republic of Congo.
KCC SA exploits copper and cobalt ores on a large scale. It includes an underground mine, open-pit mines and integrated metallurgical facilities. The operation has one of the largest copper reserves in the world, with a current life of over 25 years.

Job description.
Under the direct supervision of the Legal Manager , the role of the incumbent will be to assist the Legal Manager in managing legal risks related to the company's daily operations. He/she will provide strategic support on contractual, commercial and compliance issues, while ensuring the alignment of the company's activities with legal and regulatory requirements, contribute to the drafting, negotiation and monitoring of contracts with suppliers and subcontractors, and also act as a key contact with the Congolese administrative authorities.
He/She will have, among other things, the following essential functions (non-exhaustive):
• Analyzing and preventing legal risks related to contracts : This includes the in-depth review of contracts proposed by operational departments, the identification of risky clauses, the formulation of recommendations and the implementation of mitigation strategies in order to protect the interests of the company.
• Advise internal departments on contractual and regulatory issues: This includes legal support for the Supply Chain department, the Sales department and purchasing teams to enable them to make informed decisions within the framework of contractual relationships.
• Provide and review commercial contracts: This includes preparing contractual models, improving general purchasing/sales conditions, actively participating in contractual negotiations with suppliers and subcontractors, and ensuring their compliance with applicable laws, including subcontracting legislation.
• Manage procurement procedures and calls for tenders: This includes developing or updating internal procurement procedures, providing legal support during calls for tenders and legally validating award processes.
• Monitor inspections and requests from Congolese authorities: This includes coordination with internal departments for the preparation of administrative inspections (particularly in matters of subcontracting), management of exchanges with authorities (ARSP, local administrations, etc.), as well as the drafting and monitoring of exemption requests.
• Participate in the management of commercial disputes and arbitrations: This includes gathering facts, preparing the defense or attack strategy, collaborating with external lawyers and following up on legal or arbitration proceedings until their resolution.
• Ensure compliance with the company's legal and contractual obligations: This includes maintaining legal registers, managing legal reporting , and monitoring the compliance of documents required by the Congolese authorities.
• Support the General Manager in corporate governance matters: This includes organizing board meetings and general meetings, compliance with joint venture agreements, and handling transactions involving related parties.
• Collaborate with the Compliance department on internal procedures: This includes the application of the company's Code of Conduct, management of ethical issues, processing of alerts or reports, and support for compliance audits.
• Supervise junior members of the legal department: This includes guiding, mentoring and supervising junior and intern lawyers, ensuring their skills development and the quality of their legal analyses.
Job requirements .
Qualifications and experience.
• Hold a bachelor's degree in law (minimum 5 years of study);
• Demonstrate at least 6 years of post-qualification experience in a law firm or within the legal or contractual department of a company;
• Have proven experience in contract management and procurement procedures;
• Having experience in the extractive sector, ideally in Africa, is a considerable advantage;
• Have perfect command of French and English, both written and spoken.
Technical skills.
• Solid mastery of contract law and OHADA commercial law;
• Knowledge of mining law, environmental law and corporate law;
• Good understanding of tax, customs and immigration issues;
• Ability to manage disputes and coordinate contentious or arbitration procedures;
• Ability to negotiate with suppliers, subcontractors and administrative authorities;
• Proficiency in office tools (MS Office) and legal databases .
