POSITION PURPOSE

The Legal Manager – Argentina is responsible for leading and coordinating legal support across Glencore’s activities and development portfolio in Argentina, providing strategic, commercially focused legal advice to the CEO Argentina, senior leadership and project teams.

The role provides legal leadership across a broad range of corporate, regulatory, commercial, governance and project development matters, with a particular focus on supporting the advancement of MARA in Catamarca and El Pachón in San Juan.

Working closely with the CEO Argentina and maintaining a functional relationship with the Global Head of Legal – Glencore Copper Industrial Assets, the Legal Manager ensures that material legal risks are identified, understood and effectively managed and reported, and that the Argentina organisation has access to high-quality legal advice to support business and investment decisions.

The position requires a senior legal professional capable of combining strong technical expertise with commercial judgement and operating effectively across major projects, multiple jurisdictions and a complex stakeholder environment.

OPERATING CONTEXT

Glencore has established a dedicated Argentina organisation to shape and advance its significant investment and development portfolio in the country, currently centred on the development of MARA and El Pachón, two major copper projects located in Catamarca and San Juan respectively.

The Legal Manager operates across this Argentina platform, supporting both country-level activities and project-specific requirements and working closely with project leadership and relevant corporate and functional teams.

The legal environment is broad and complex, encompassing corporate and commercial law, mining and regulatory frameworks, major project development, permitting, contractual arrangements, governance, investment frameworks and interactions with national and provincial authorities.

The position operates within a global matrix and requires close collaboration with Argentina leadership, project teams and Glencore legal and specialist functions internationally. The Legal Manager must balance robust management of legal risk with pragmatic, commercially focused advice that enables the responsible advancement of Glencore’s investments in Argentina.

KEY ACCOUNTABILITIES

• Lead the provision of legal advice and support across Glencore’s activities and development portfolio in Argentina.
• Act as the principal legal adviser to the CEO Argentina and provide strategic legal counsel to the Argentina leadership team.
• Provide legal support to the development of MARA and El Pachón, working closely with project leadership and relevant functional teams on material project-related matters.
• Advise on legal and regulatory matters affecting the development, permitting, financing, construction and future operation of major mining projects.
• Monitor developments in Argentina’s legal, mining, regulatory and investment frameworks and assess their potential implications for Glencore and its projects.
• Provide legal advice on the application and implementation of relevant investment frameworks and incentives affecting major capital investments in Argentina.
• Lead and coordinate material corporate, commercial and contractual matters, including the negotiation and review of significant agreements and strategic arrangements.
• Support commercial transactions, partnerships and other arrangements associated with the development of Glencore’s Argentina portfolio.
• Provide legal oversight and support in relation to corporate structures, legal entities and governance arrangements across Argentina.
• Ensure appropriate corporate governance and statutory requirements are maintained across relevant Glencore entities.
• Identify, assess and manage material legal risks and ensure appropriate escalation to the CEO Argentina, Global Legal and relevant governance forums.
• Provide legal support on significant regulatory, administrative, disputes and litigation matters and coordinate appropriate strategies where required.
• Support engagement with national, provincial and local government authorities and regulators on matters requiring legal or regulatory expertise.
• Work closely with Corporate Affairs and other relevant functions to ensure external engagement is supported by appropriate legal analysis and advice.
• Provide legal input into key investment, project and business decisions, ensuring legal implications and risks are clearly understood by decision makers.
• Maintain effective connectivity with the Global Head of Legal – Glencore Copper Industrial Assets and other Glencore legal teams, ensuring alignment with Group legal standards, governance and risk-management requirements.
• Coordinate specialist legal support from Glencore Group and global functional teams where required.
• Select, instruct and manage external legal counsel and other specialist advisers, ensuring appropriate quality, cost effectiveness and accountability.
• Support the development and implementation of appropriate legal policies, processes, controls and governance frameworks across the Argentina organisation.
• Partner effectively with Finance, Tax, Human Capital, Corporate Affairs, Sustainability, Risk, Commercial, Procurement and project teams on matters requiring legal input.
• Promote proactive legal risk management and strengthen legal awareness across the organisation.
• Lead, develop and provide direction to two direct reports, establishing clear priorities, accountabilities and development plans.
• Champion Glencore’s Values, Code of Conduct and expected standards of integrity and responsible business conduct.

EXPERIENCE AND QUALIFICATIONS

Core Experience

• 15+ years of relevant legal experience, including substantial experience in senior in-house and/or private practice roles.
• Significant experience practising or operating within the Argentine legal and regulatory environment.
• Strong experience within mining, natural resources, energy, infrastructure, major projects or another highly regulated and capital-intensive sector.
• Experience advising senior executives on complex, commercially significant and strategically sensitive legal matters.
• Strong corporate, commercial, contractual and regulatory legal experience.
• Experience supporting major capital projects, transactions or significant investment programmes.
• Strong understanding of corporate governance and legal risk management.
• Experience working with government authorities, regulators and external counsel.
• Proven ability to operate effectively within a complex international and matrix organisation.
• Demonstrated people leadership and stakeholder management capability.

Preferred Experience

• Significant legal experience within the mining or metals sector.
• Experience supporting major mining project development in Argentina.
• Knowledge of Argentine mining law, investment frameworks and relevant national and provincial regulatory environments.
• Experience with major project agreements, strategic partnerships, joint ventures and complex commercial arrangements.
• Exposure to legal matters involving both San Juan and Catamarca.
• Experience within a major multinational organisation.

Education and Professional Qualifications

• Law degree from a recognised university.
• Qualified lawyer with eligibility to practise in Argentina.
• Relevant postgraduate qualifications advantageous.
